1. Introduction
Thank you for choosing the services offered by TheByteCodes Global Solution. "InvoizaPro" is a digital platform built to enable businesses to stay compliant with the electronic invoicing requirements of the Federal Inland Revenue Service (FIRS) and to manage their invoicing operations efficiently.
These Service-Level Agreement (SLA) and Privacy Policy terms (the "Terms") govern your access to and use of the InvoizaPro Platform and Services. Please read them carefully to understand your obligations and the services you will be receiving.
2. Definitions
- Services – Provision of access to the InvoizaPro Platform enabling Customers and Partners to list business products and services, manage inventory, process purchase invoices, generate tax invoices, and create credit notes.
- InvoizaPro Platform – The web and/or mobile based proprietary platform owned or managed by TheByteCodes Global Solution, including its applications, content, services, and related intellectual property.
- InvoizaPro Customer – Any individual or legal entity that has accepted these Terms and uses the InvoizaPro Platform for invoicing and related activities.
- InvoizaPro Partner – Any tax practitioner, auditor, association, professional service provider, or technology provider that meets our criteria and has been enrolled as a partner to the Services.
3. User Agreement
By accepting these Terms, you enter into a legally binding agreement with InvoizaPro governing your access to and use of the Services. Your installation, access to, or continued use of the Services constitutes your acceptance of these Terms, including any amendments made periodically. If you do not agree to these Terms, you are expressly prohibited from using the Services.
4. General Terms of Use
- These Terms govern your access to and use of the Services and the InvoizaPro Platform, whether as a Customer or Partner.
- These Terms supersede all prior agreements or communications (oral or written) between you and us regarding the Services.
- We may suspend, restrict, or terminate your access to the Services in cases including, but not limited to: failure to pay fees when due; breach of these Terms; fraudulent acts; or court orders; as well as for scheduled maintenance and service interruptions.
- Supplemental terms may apply to specific Services, events, or promotions. In case of conflict, such supplemental terms will govern for those specific Services.
- We reserve the right to amend these Terms periodically. Your continued use of the Services after changes are implemented constitutes acceptance of the revised Terms.
5. Data Protection & Privacy
Your use of the Services is also governed by the InvoizaPro Privacy Policy, available at Privacy Policy.
- By using the Services, you consent to our collection, use, and management of information as described in the Privacy Policy, including the aggregation of non-identifiable data for analytics, service improvement, benchmarking, and research.
- We may use your personal data for analytics related to your use of the Services, marketing activities, and handling requests or inquiries you submit.
- You are solely responsible for safeguarding information stored on your devices, including the use of antivirus software, secure passwords, and physical security measures.
- You consent to receive electronic communications (e.g., email, push notifications, in-app messages) relating to the Services and your account.
- You must keep your contact information (email, address, phone) accurate and up to date via the Platform or by contacting support@thebytecodes.com.ng.
6. Applicable Terms
You may be required to provide certain onboarding information in connection with listing business products and services, inventory management, processing purchase invoices, generating tax invoices, and creating credit notes.
InvoizaPro does not represent itself as a certified public accountant, enrolled agent, professional firm, or tax preparation software provider. Third-party Partners are independent contractors whose views and representations are solely their own and are not binding on InvoizaPro.
7. Age Requirement
By accessing or using the Platform, you represent and warrant that you are at least 18 years of age and that your use complies with all applicable laws and regulations. InvoizaPro reserves the right to terminate your access if it determines that you are under 18 and have not provided verifiable consent from a parent or legal guardian.
8. Content Ownership and Usage
- InvoizaPro does not claim ownership of any data or material ("Content") you submit via the Platform. You are responsible for the accuracy, quality, legality, and intellectual-property rights of your Content.
- You are solely responsible for any Content posted, written, uploaded, or stored while using the Services.
- By submitting Content, you grant InvoizaPro a worldwide, royalty-free, non-exclusive license to host, use, and archive such Content as necessary to operate the Services. InvoizaPro is not liable for any lost or unrecoverable Content.
- You grant InvoizaPro a perpetual, worldwide, fully transferable, sublicensable, irrevocable, royalty-free license to use any feedback or suggestions you provide.
- You grant TheByteCodes Global Solution permission to use your company name and logo in its marketing materials, and you are likewise permitted to use TheByteCodes' name and logo in your own marketing materials.
9. Acceptable Use & Prohibited Acts
You agree not to use the Services, nor permit any third party to use the Services, for any unlawful, harmful, deceptive, or otherwise objectionable activity, including but not limited to:
- Posting or transmitting content that is illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, or otherwise offensive.
- Impersonating any person or entity, misrepresenting your identity, or breaching the privacy of others.
- Introducing viruses, worms, Trojan horses, or other harmful code or data.
- Attempting to gain unauthorized access to the Services, user accounts, systems, or networks.
- Copying, extracting source code from, reverse engineering, or creating derivative works from the Platform.
- Engaging in spam, chain letters, pyramid schemes, unsolicited commercial messages, or flooding.
10. Additional Terms
The InvoizaPro Platform and Services are protected by copyright, trade secrets, and other intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable license to use the Platform and Services for the purposes described in these Terms, subject to your ongoing compliance.
- You confirm you are the person or entity requesting the Services (or have lawful authority to act on their behalf).
- You may not provide unauthorized third-party access to the Services, reproduce or resell the Platform, engage in fraudulent activity, or host the Platform on any file-sharing/service-hosting environment.
- You agree not to attempt to replicate the Platform or Services.
11. Representations, Warranties, and Indemnification
You represent that you have full authority and legal capacity to accept and comply with these Terms and that doing so does not breach any agreements or laws applicable to you. You further confirm that your use of the Services will not violate any third-party rights.
In the event of a breach of your representations or obligations, InvoizaPro may suspend related Services as necessary to protect the Platform, its users, or its business.
You agree to indemnify and hold harmless InvoizaPro and its affiliates, officers, directors, agents, and employees from claims or losses arising from your breach of these Terms or violation of any non-compete or other restrictive covenant with third parties through your use of the Services.
12. Payment and Fees
All payments and fees associated with your use of the Services are processed via authorized third-party payment providers. You may also incur fees payable to other third parties (e.g., telecom providers, tax preparation tools) while using the Services, and you are solely responsible for understanding and settling such fees.
A processing fee may apply to cover expenses related to third-party payment processing.
13. Cancellation Policy
If you have paid for the Services and later choose to cancel, you are generally not entitled to a refund of amounts or fees already paid. All cancellation requests must be submitted in writing to support@thebytecodes.com.ng. Eligibility for any refund and applicable cancellation fees will be determined in line with our Refund Policy and the timing of your request.
14. Account and Security Management
- You are solely responsible for managing and safeguarding your passwords and account credentials.
- You must promptly notify us of any unauthorized use of your account or other security breaches.
- You remain solely responsible for implementing appropriate security measures (e.g., firewalls, antivirus, anti-spyware) to protect your systems and data.
15. Third-Party Services, Devices, and Content
The Services may contain links to or be accessed in conjunction with third-party services, content, devices, or software over which we have no control. Distinct terms and privacy policies may apply to your use of such third-party offerings. We do not endorse and are not responsible for third-party products, services, or content.
You remain responsible for complying with any applicable terms and licenses relating to third-party devices or software used in connection with the Services, and we disclaim all warranties with respect to such third-party offerings.
16. Confidentiality
The Services enable you to upload, store, transmit, and receive confidential information. You agree to comply with all laws and regulations governing the handling of such information. You acknowledge that InvoizaPro and its licensors may access, monitor, store, and use confidential information as necessary to operate the Services on your behalf.
17. Disclaimer of Warranties
Your use of the Services is at your sole risk. Except as expressly stated in these Terms, the Services are provided "as is" and, to the fullest extent permitted by law, InvoizaPro and its suppliers disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, data loss, non-infringement, and accuracy.
We do not warrant that the Services will be secure or free from bugs, viruses, errors, interruptions, or other issues, or that your use of the Services will ensure compliance with any laws or regulations applicable to you.
18. Limitation of Liability and Indemnification
In no event shall InvoizaPro's total liability exceed the amount you actually paid to us for use of the Platform during the twelve (12) months immediately preceding the claim. Neither InvoizaPro nor its affiliates or suppliers shall be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of business, revenue, profits, data, or use.
Except as expressly set out herein, you agree to indemnify, defend, and hold harmless InvoizaPro and its affiliates from any claims or losses arising from your use of the Services or any breach of these Terms.
19. Governing Law
This Agreement shall be governed by the laws of the territory in which the Services are delivered, without regard to conflict of law principles.
20. Severability
If any provision of these Terms is found invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be ineffective only to the extent of such invalidity or unenforceability, and the remaining provisions will continue in full force and effect.
21. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties. Our failure to enforce any provision or exercise any right shall not be construed as a waiver of that provision or right.
22. Dispute Resolution and Arbitration
Both parties knowingly and voluntarily waive any rights to litigation in court for disputes arising out of or related to these Terms, except as otherwise required by law. The parties will first attempt in good faith to resolve any dispute within fourteen (14) days of notice.
If unresolved, the dispute shall be submitted to binding arbitration in accordance with the rules of a relevant arbitration tribunal or center under applicable law. The arbitration costs will generally be shared equally, and the arbitrator shall have no authority to award punitive damages or damages in excess of compensatory damages.
Except as required by law, the parties and the arbitrator shall maintain confidentiality over the existence and content of the arbitration proceedings.
23. Termination
Termination by Us: We may terminate this Agreement or suspend/revoke your access to the Platform at any time, with or without cause, by providing notice to the contact details you supplied. Upon termination, you may not register a new account under your name, an alias, or on behalf of a third party, and we may delete your account and associated information.
Termination by You: You may terminate these Terms by ceasing all use of the Platform and closing your account, provided no outstanding Services or requests remain. If there are outstanding Services, termination will only be effective once such Services are completed, paid for, or canceled in accordance with our policies.
Termination for Cause: Either party may terminate these Terms for material breach, unlawful business practices, or insolvency events, subject to notice requirements set out in the Agreement.
24. Help and Support
We may provide technical support and customer service through in-product help, online portals, email, chat, or telephone. Support terms and conditions, including any applicable fees, may change from time to time.

25. Entire Agreement
These Terms constitute the complete and exclusive agreement between you and InvoizaPro concerning the Services, superseding all prior communications and understandings (oral or written). You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations without your consent.
By electronically accepting this Agreement, accessing, or using any part of the InvoizaPro Platform or Services, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform or Services.
